End-User License Agreement

1. GRANT OF LICENSE

1.1 Per-Seat Allocation: This license is granted on a 'Per-Device' basis. One (1) purchase grants the right to install and execute the Software on one (1) unique hardware identifier (Hardware ID).

1.2 Non-Transferability: This license is nonexclusive and non-transferable. The User may not rent, lease, lend, copy, or resell the Software or the physical USB hardware without express written consent from the Provider.

1.3 Verification: The Software utilizes a hardware-locking mechanism. Attempting to bypass or "crack" the License Activation system constitutes a material breach of this agreement.

2. DATA PROTECTION & UK GDPR COMPLIANCE

2.1 Data Controller Status: The User (The Agency) is the Data Controller for any client data processed through the Software. The Provider (The Developer) acts neither as a Controller nor a Processor, as the Software operates locally on the User's hardware.

2.2 Local Processing: No Personal Data (PII) processed by the 15 AI Agents is transmitted to or stored by the Provider. All data remains within the User's local environment or is transmitted directly to the third-party API provider (Groq) via the User's private API key.

2.3 Liability: The User is solely responsible for ensuring that their use of AI-generated reports complies with UK GDPR when handling client URLs or proprietary business information.

3. INTELLECTUAL PROPERTY (IP)

3.1 Software Ownership: All code, logic, and 'Agent System Instructions' are the intellectual property of the Provider.

3.2 White-Label Rights: Upon activation of the 'White-Label' license, the User is granted the right to brand the outputs (PDFs, Emails, Reports) as their own. This does not grant ownership of the underlying software logic.

3.3 AI Outputs: Output generated by the Software is owned by the User, subject to the terms of the third-party LLM provider (Groq).

4. LIMITATION OF LIABILITY

4.1 'As-Is' Provision: The Software is provided as 'as-is'. While every effort is made to ensure Quality Assurance (QA), the Provider does not guarantee the accuracy of AI-generated content.

4.2 Professional Advice: AI-generated reports are for strategic guidance only and do not constitute legal, financial, or professional marketing advice.

4.3 Damages Cap: To the maximum extent permitted by law, the Provider's liability shall not exceed the original purchase price of the single-user License.

5. TERMINATION

5.1 Breach: Any violation of the hardware-locking or redistribution clauses will result in the immediate termination of the license without refund.

5.2 API Dependency: The Software requires a third-party API (Groq). The Provider is not responsible for service interruptions or price changes initiated by the API provider.

6. GOVERNING LAW

6.1 This Agreement is governed by and construed in accordance with the laws of England and Wales. The parties submit to the exclusive jurisdiction of the English courts.
